Terms of Service

ProLogicStack (hereinafter "The Provider," "The Platform," "We," "Us," or "Our") establishes these Terms of Service ("Terms," "Agreement," or "Master Service Agreement") as a definitive and legally binding contract between the Provider and the individual or corporate entity accessing our Services (hereinafter "The User," "The Client," "The Subscriber," or "You"). This Agreement governs your entire lifecycle interaction with the ProLogicStack ecosystem, including but not limited to our serverless calculators, architectural frameworks, programmatic SEO analyzers, and API endpoints. By accessing the domain or utilizing any proprietary logic provided herein, you explicitly represent that you possess the legal capacity to enter into this contract and that you have read, understood, and agreed to be bound by every clause contained in this 10,000-word instrument. REJECTION OF TERMS. If you do not agree with the granular technical or legal constraints outlined in this document, you are strictly prohibited from utilizing the Services. Your continued use of the Platform constitutes an irrevocable acceptance of this Agreement. We operate under a "Consent through Use" model for our public-facing tools, where every HTTP request sent to our edge functions serves as a digital signature of your compliance.

To eliminate ambiguity in future litigation or arbitration, the following terms shall carry the precise technical meanings defined below: 2.1 THE SERVICES. Includes all proprietary source code, edge functions, serverless compute cycles, logic gates, database schemas, and frontend visualizations hosted on the ProLogicStack domain. 2.2 STACK ARCHITECTURE. Refers to the specific combination of software tools, cloud providers, and configuration logic recommended by our calculators for a given technical problem. 2.3 PROPRIETARY LOGIC. Refers to the algorithmic weightings, mathematical formulas, and decision trees used to calculate profit margins, SEO difficulty, and infrastructure costs. 2.4 USER INPUT DATA. Any technical parameters, keywords, or financial figures entered into our tools. Since we operate a serverless/no-login architecture, this data is primarily processed client-side. 2.5 INTELLECTUAL PROPERTY RIGHTS. Means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights, and other intellectual property rights as may now exist or hereafter come into existence.

ProLogicStack is a high-authority technical asset. We maintain a zero-tolerance policy regarding the misappropriation of our architectural logic. 3.1 OWNERSHIP OF LOGIC. The Provider retains 100% ownership of the mathematical logic used in our calculators. While the "Results" generated for a User may be used for their business purposes, the underlying "Methodology" remains a trade secret of ProLogicStack. 3.2 THE "ANTI-CLONE" MANDATE. You are expressly forbidden from utilizing our Services to build a competing calculator, tool, or technical blog that replicates our specific logic flows or ranking algorithms. Any attempt to "Reverse Engineer" our stack recommendations through repeated manual or automated queries will be treated as a theft of trade secrets. 3.3 TRADEMARK USAGE. The names "ProLogicStack," "Saida Engineering," and "SaidaQ" are proprietary trademarks. You may not use these marks in any metadata, ad copy, or domain names without an express licensing agreement from Shankar (Agency Owner).

Your license to use the Services is conditional upon your strict adherence to the following technical prohibitions: 4.1 NO REVERSE ENGINEERING. You shall not decompile, disassemble, or attempt to derive the source code of our edge functions or client-side JavaScript bundles. Our code is obfuscated and protected to prevent the extraction of our proprietary "Stack Weights." 4.2 NO AUTOMATED SCRAPING. You are prohibited from using headless browsers (e.g., Puppeteer, Playwright), automated bots, or "AI Agents" to scrape data from our comparison tables or logic results. We implement advanced bot-detection at the edge. 4.3 NO API ABUSE. If you utilize our public API endpoints, you must adhere to the rate limits specified in our engineering docs. Any attempt to "Brute Force" our tools to map out our logic results will result in an immediate and permanent IP-level ban across the entire Saida Engineering network.

Because ProLogicStack operates without a centralized login system, the User assumes unique responsibilities for their data and interactions. 5.1 LOCAL STORAGE CUSTODY. You acknowledge that you are the sole administrator of any data saved via the "Save" function on our tools. This data lives in your browser's Local Storage. We have no technical way to recover, backup, or delete this data for you. 5.2 ACCURACY OF INPUTS. Our calculators are only as accurate as the data you provide. We assume no responsibility for financial losses or engineering failures resulting from incorrect inputs (e.g., entering wrong API costs or miscalculating server traffic). 5.3 HARDWARE CONSTRAINTS. You acknowledge that our heavy client-side tools are optimized for modern hardware. If you run our logic engines on low-spec devices (e.g., Intel i3 / 8GB RAM), you may experience performance degradation. ProLogicStack is not responsible for browser crashes or local system instability.

For any premium tiers, API credits, or advanced architectural frameworks offered on a paid basis, the following financial terms apply: 6.1 PAYMENT PROCESSING. All transactions are facilitated through third-party encrypted gateways (e.g., Stripe, LemonSqueezy). ProLogicStack does not possess the technical infrastructure to store, view, or modify your full credit card digits or CVV codes. 6.2 AUTOMATIC RENEWAL POLICY. Unless explicitly stated otherwise, all subscriptions operate on an automatic renewal basis. You authorize the Provider to charge your saved payment method at the commencement of each billing cycle. It is your sole responsibility to manage your subscription status via the User Console. 6.3 THE "ZERO REFUND" MANDATE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. Due to the digital and reproducible nature of our "Stack Architectures" and "Logic Engines," we do not provide refunds for partial months, unused API credits, or dissatisfaction with calculated results. You acknowledge that you are paying for the access to the logic, not a guaranteed outcome for your business. 6.4 TAXATION AND SURCHARGES. You are responsible for all applicable sales, use, or value-added taxes (VAT) associated with your purchase. Prices quoted on the Platform are exclusive of such taxes unless otherwise noted.

PROLOGICSTACK PROVIDES THE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. 7.1 NO GUARANTEE OF ACCURACY. Our calculators provide mathematical simulations based on 2026 market data. We do not warrant that the results (e.g., profit margins, SEO traffic, cloud costs) will be 100% accurate or reflect real-world performance. You acknowledge that software markets are volatile and that any "Stack Recommendation" is a technical opinion, not a financial guarantee. 7.2 AVAILABILITY AND UPTIME. While we utilize high-availability serverless infrastructure (Vercel/Cloudflare), we do not guarantee 100% uptime. We are not liable for losses resulting from edge function cold starts, DNS propagation delays, or systemic failures of the global internet backbone. 7.3 MALICIOUS CODE. While we perform rigorous security audits, we do not warrant that the Services are free of viruses, malware, or other harmful components. You are responsible for maintaining your own local hardware security and firewall protocols.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROLOGICSTACK, ITS FOUNDER (SHANKAR), OR SAIDA ENGINEERING BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. 8.1 SCOPE OF LOSSES. This includes, without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses that result from: - Your use of or inability to use the Services. - Unauthorized access to or alteration of your local storage or transmissions. - The cost of procurement of substitute software or services. - Statements or conduct of any third-party software vendor referenced in our "Stack Recommendations." 8.2 THE FIFTY-DOLLAR CAP. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE SUM OF FIFTY US DOLLARS ($50) OR THE AMOUNT YOU PAID US IN THE LAST SIX MONTHS, WHICHEVER IS LESS. This cap is a fundamental element of the bargain between the Provider and the User. Without this limitation, the Services would not be provided at their current price point.

ProLogicStack is a modular monolith that recommends third-party "Best-of-Breed" tools. You acknowledge that we possess no control over these external entities. 9.1 VENDOR OUTAGES. If a recommended tool (e.g., Supabase, Stripe, or Vercel) suffers a catastrophic outage or data breach, ProLogicStack is not responsible for the impact on your project. Our recommendations are based on historical performance and do not constitute a guarantee of future stability. 9.2 API DEPRECATION. Software vendors frequently deprecate legacy APIs. We aim to keep our calculators updated for 2026 standards, but we are not liable for recommendations that become obsolete due to unannounced vendor architectural shifts. 9.3 EXTERNAL LINKS. Clicking on an affiliate or external link initiates a third-party relationship where ProLogicStack's Terms of Service no longer apply. You are subject to the legal framework of the destination domain. 9.4 TRADEMARK ATTRIBUTIONS. Google Play and the Google Play logo are trademarks of Google LLC. All other trademarks, service marks, and trade names referenced on the Platform are the property of their respective owners.

You agree to defend, indemnify, and hold harmless ProLogicStack, Saida Engineering, and its officers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: 10.1 YOUR BREACH. Any violation by you of these Terms or any applicable law or regulation. 10.2 YOUR INPUTS. Any data or content you enter into our tools that infringes upon the intellectual property or privacy rights of a third party. 10.3 YOUR IMPLEMENTATION. Any failure or financial loss occurring in your business as a result of implementing an architectural "Stack" recommended by our calculators. You acknowledge that you are the final Technical Architect of your own projects and that our tools are merely supportive instruments.

ProLogicStack employs advanced edge-layer security to protect its proprietary logic engines from unauthorized extraction. 11.1 PROHIBITION ON AUTOMATED HARVESTING. You are strictly prohibited from using any automated system, including but not limited to "spiders," "robots," "offline readers," or "AI Agents," to access the Services in a manner that sends more request messages to our serverless functions in a given period than a human can reasonably produce. 11.2 FORENSIC TELEMETRY. We reserve the right to utilize forensic telemetry—including IP reputation scores, mouse-movement analysis, and canvas fingerprinting—to identify and block automated scraping attempts. By using the Services, you consent to this monitoring. 11.3 LIQUIDATED DAMAGES. You acknowledge that unauthorized scraping of our "Stack Architectures" or "Logic Engines" causes irreparable harm to our business. We reserve the right to seek liquidated damages of five thousand US Dollars ($5,000) per unauthorized automated request identified as an attempt to replicate our proprietary database.

As a serverless platform, ProLogicStack shifts the burden of data custody to the User's local hardware. 12.1 CLIENT-SIDE EXCLUSIVITY. You acknowledge that the "Results" generated by our tools are stored in your browser's Local Storage. We do not have a "Backdoor" or "Cloud Sync" to access your saved projects. 12.2 RISK OF DATA LOSS. ProLogicStack is not liable for the loss of any work, architectural blueprints, or financial simulations resulting from: - Clearing your browser cache or cookies. - Browser crashes or hardware failures. - Software updates to your local operating system or browser environment. 12.3 NO BACKUP OBLIGATION. We possess no technical obligation to backup, export, or transition your locally stored data to any other platform. It is your responsibility to utilize our "Export to JSON/CSV" features (where available) to secure your own work.

The Provider reserves the right to terminate your access to the Services at any time, without prior notice, for any reason or no reason. 13.1 CAUSE FOR TERMINATION. Immediate termination will occur if we detect: - Attempted reverse engineering of our JavaScript bundles. - Excessive API requests that degrade the performance for other users (DDoS). - Violation of our Acceptable Use Policy (AUP). 13.2 EFFECT OF TERMINATION. Upon termination, your right to use the Services ceases immediately. We may block your IP address or entire ASN from accessing our edge functions. Any data you have stored in Local Storage will remain on your device but will no longer be functional within our logic engines.

The Provider shall not be held responsible for any delay or failure in performance resulting from causes beyond its reasonable control. 14.1 CATEGORIES OF EVENTS. This includes, without limitation: - Acts of God (Fires, Floods, Earthquakes). - War, Terrorism, or Civil Unrest. - Systemic failures of the global cloud infrastructure (e.g., AWS, Vercel, or Cloudflare regional outages). - Global shortages of semiconductors impacting server availability. 14.2 NO LIABILITY FOR DOWNTIME. During a Force Majeure event, the Services may be suspended indefinitely. We are not liable for any financial losses or project delays caused by these systemic interruptions.

ProLogicStack is a dynamic platform that evolves at the speed of the 2026 software market. 15.1 RIGHT TO MODIFY. We reserve the right to add, modify, or remove features, calculators, or architectural recommendations at our sole discretion without notice. 15.2 PRICE ADJUSTMENTS. If you are on a legacy paid plan, we reserve the right to adjust pricing to reflect current infrastructure costs. We will provide thirty (30) days' notice via a banner in the Console for any material price changes. 15.3 CONTINUED ACCEPTANCE. Your use of the Services following any modification to the tools or these Terms constitutes your binding acceptance of the "New Version" of the Platform.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be settled by binding arbitration. 16.1 ARBITRATION RULES. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) or JAMS, depending on the Provider's discretion at the time of the filing. The seat of the arbitration shall be the jurisdiction of the Provider's incorporation. 16.2 CLASS ACTION WAIVER. YOU AND PROLOGICSTACK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. 16.3 COSTS OF ARBITRATION. Each party shall bear its own costs and expenses and an equal share of the arbitrators' and administrative fees of arbitration, unless the arbitrator determines that a claim was frivolous or brought for an improper purpose.

The software, logic, and technical data provided by ProLogicStack are subject to United States and international export control laws. 17.1 PROHIBITED DESTINATIONS. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country. 17.2 PROHIBITED PERSONS. You represent and warrant that you are not listed on any U.S. Government list of prohibited or restricted parties. 17.3 COMPLIANCE RESPONSIBILITY. You are solely responsible for complying with all local, state, national, and international laws regarding your use of the Services, including any data residency requirements for the results generated by our architectural frameworks.

By using the Services, you consent to receiving all communications, agreements, and notices from us electronically. 18.1 METHOD OF DELIVERY. We will provide notices to you by posting them on the ProLogicStack Console or by sending them to the email address you provided (if any). You agree that all electronic notices satisfy any legal requirement that such communications be in writing. 18.2 UPDATING CONTACT INFO. Because we operate a serverless/no-login environment, it is your responsibility to check the legal pages periodically for updates. If you have provided an email for updates, you must ensure it remains active and capable of receiving messages from our domain.

This Agreement constitutes the entire understanding between the User and the Provider. 19.1 SEVERABILITY. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. 19.2 NO WAIVER. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. 19.3 ENTIRE AGREEMENT. These Terms, along with the Privacy Policy and Affiliate Disclosure, supersede all prior agreements, oral or written, regarding your use of the Services.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware (or the Republic of India, depending on the specific entity serving the request), without regard to its conflict of law provisions. 20.1 VENUE. You agree to submit to the personal and exclusive jurisdiction of the courts located within the Provider's primary business region for the resolution of any disputes not subject to arbitration. 20.2 CONTACT FOR LEGAL NOTICES.
